End User License Agreement

IMPORTANT — READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Psyrcuit LLC ("Psyrcuit") for the MFC (Metal Finishing Calculator) software product, which includes computer software and associated documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

1. Grant of License

Psyrcuit grants you a perpetual, non-exclusive license to install and use one copy of the Software on one computer, subject to the terms of this EULA. The license is tied to the specific computer identified by its network adapter MAC address during activation.

Single Machine Use: Each license permits installation and use on exactly one machine at a time. Running the Software on multiple machines simultaneously requires separate licenses for each machine.

2. License Activation

The Software requires a one-time online activation to generate a machine-specific license key. Activation requires the computer's MAC address to be submitted to Psyrcuit's activation server. The generated license key is mathematically bound to the submitted MAC address. After activation, the Software operates fully offline — no internet connection is required for continued use.

3. License Transfer

You may transfer your license to a different computer up to once per calendar year. License transfers are initiated through the Software's built-in transfer feature, which generates a cryptographic transfer token. Upon transfer, the license on the original machine is permanently deactivated.

Additional transfers beyond the annual limit may be requested from Psyrcuit and are granted at Psyrcuit's reasonable discretion (e.g., in cases of hardware failure).

Sale or transfer of a license to a different person or entity is not permitted without prior written consent from Psyrcuit.

4. Restrictions

You may not: reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law notwithstanding this limitation; modify, adapt, or create derivative works of the Software; rent, lease, lend, or sublicense the Software; distribute copies of the Software to third parties; remove or alter any proprietary notices, labels, or marks on the Software; share your license key with any person or entity not authorized under this license; attempt to bypass, disable, or circumvent the licensing mechanism.

5. Offline Operation and Data Privacy

The Software is designed to operate entirely offline after activation. During normal use, the Software does not transmit any data to Psyrcuit or any third party. All estimation data, including part dimensions, surface area calculations, process specifications, customer information, and generated quotes, is stored exclusively on your local machine.

This offline architecture is a fundamental design principle of the Software, intended to support use in environments subject to ITAR (International Traffic in Arms Regulations), CUI (Controlled Unclassified Information), and CMMC (Cybersecurity Maturity Model Certification) requirements.

6. Ownership

The Software is licensed, not sold. Psyrcuit retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or trade names of Psyrcuit.

7. Updates

Psyrcuit may release updates to the Software from time to time. Updates are provided free of charge to licensed users. Updates are delivered via download and installed manually — there is no automatic update mechanism. Your existing license key remains valid across updates unless a fundamental change to the licensing system is required, in which case Psyrcuit will provide a replacement key at no charge.

8. Support

Standard support (3–5 business day email response) is included with your license at no additional cost. Optional 24/7 Instant Support is available as a separate subscription. Support terms are described in the Terms of Service.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. PSYRCUIT DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

The Software performs mathematical calculations based on user-provided inputs. Psyrcuit does not warrant the accuracy of calculations for any specific application. Users are responsible for verifying all surface area calculations, pricing computations, and generated quotes before relying on them for business purposes.

10. Limitation of Liability

IN NO EVENT SHALL PSYRCUIT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF PSYRCUIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In any case, Psyrcuit's entire liability under this EULA shall be limited to the amount actually paid by you for the Software license.

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term of this EULA. Upon termination, you must destroy all copies of the Software in your possession. The license key will be flagged as revoked in Psyrcuit's records. Sections 6, 9, 10, and 13 survive termination.

12. Export Compliance

The Software itself does not contain controlled technical data. However, the Software is designed for use in industries that may handle controlled data. You are responsible for ensuring your use of the Software complies with all applicable export control laws and regulations, including ITAR, EAR, and applicable sanctions programs.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. Any legal action arising from this EULA shall be brought in the courts of the State of Arizona.

14. Entire Agreement

This EULA constitutes the entire agreement between you and Psyrcuit regarding the Software and supersedes all prior agreements and understandings, whether written or oral. This EULA may be amended only by a written document signed by both parties, except that Psyrcuit may update this EULA from time to time by posting a revised version to the MFC website.
